NCLT greenlights Persistent Systems' merger with Arrka Infosec

The National Company Law Tribunal (NCLT) has approved the merger of Arrka Infosec Private Limited into its parent company, Persistent Systems. The decision marks a step toward simplifying the corporate structure and streamlining operations within the group. Arrka Infosec, founded in 2012, specialises in information technology and IT-enabled services (ITeS). As a wholly-owned subsidiary of Persistent Systems, it will now be fully absorbed into the parent company.

The merger aims to cut redundant corporate processes and create operational efficiencies. By consolidating all undertakings under Persistent Systems, the company expects tighter management control and unified oversight. No new shares will be issued since Arrka Infosec is entirely owned by its parent. Once the merger takes effect, Arrka Infosec’s issued and paid-up capital will be cancelled. The subsidiary will then cease to exist as a separate legal entity.

The merger eliminates duplicate administrative layers while keeping the business focus intact. Persistent Systems will now manage all former Arrka Infosec operations directly. The restructuring takes effect immediately upon completion of legal formalities.
