Motorola Solutions Finalizes Purchase of Silvus Technologies Holding Inc.
Silvus Technologies' Mission-Critical Mobile Network Technology Acquired by Motorola Solutions
Silvus Technologies, a global leader in mission-critical mobile ad-hoc networks (MANET), has been acquired by Motorola Solutions. This strategic move aims to extend Silvus' reach through Motorola Solutions' global scale and long-standing relationships with government and public safety customers.
Silvus' advanced MANET technology finds specific applications in defense, border security, public safety, and other industries by enabling resilient, high-throughput, and secure wireless communications without dependence on fixed infrastructure. Its key benefits include highly secure data, video, and voice transmission in contested or infrastructure-limited environments, self-forming and self-healing mesh networks, scalability to hundreds of nodes, and excellent support for bandwidth-intensive applications like drones, sensors, and real-time video.
In defense, Silvus’ MANET technology supports frontline military operations where communication infrastructure is unavailable or compromised. It enables secure, low-latency control of autonomous systems such as drones and unmanned vehicles, improving situational awareness and tactical decision-making while maintaining connectivity across dispersed and mobile forces. In border security, the technology enhances operations by providing a reliable and scalable network that connects personnel and autonomous systems over wide ranges without fixed infrastructure, critical in complex or remote border environments.
For public safety, Silvus technology serves first responders and disaster response organizations by delivering robust, mobile, and resilient communications during natural disasters or emergencies where infrastructure is damaged or overloaded. This includes seamless voice, video, and data exchange to coordinate operations effectively. In other industries, through integration with autonomous and unmanned systems, Silvus technology supports industrial applications requiring secure, real-time data transmission over mobile or remote networks, such as offshore operations or maritime environments with its ruggedized SC4400X MANET radio specifically designed for harsh conditions.
The acquisition agreement includes the potential for earnout consideration of up to $600 million based on business performance, covering consecutive twelve-month periods ending in 2027 and 2028. Motorola Solutions will share more information about the acquisition during their quarterly conference call on Aug. 7, which will be webcast live and a replay will be available at www.motorolasolutions.com/investors.
Meanwhile, DMP introduces JamAlert, a detection device to combat the growing threat of illegal cell jammers. Both Motorola Solutions and Silvus Technologies are driven by innovation for safety. Babak Daneshrad, CEO of Silvus Technologies, expresses respect for Motorola Solutions' leadership. The consideration for the Silvus acquisition includes $4.4 billion in upfront consideration, primarily in cash. Certain employee equity holders will receive approximately $20 million in restricted stock as part of the purchase agreement.
Silvus' wide range of customers spans defense agencies, autonomous systems manufacturers, the intelligence community, law enforcement, and enterprises globally. The capabilities of Silvus' devices mesh together to establish large, scalable, and self-healing networks. The combination of their advanced engineering teams is expected to enhance the ability to build more powerful solutions.
The acquisition of Silvus Technologies by Motorola Solutions marks a significant step forward in providing secure, reliable, and high-performance wireless communications solutions for various sectors, particularly in defense, public safety, and industrial applications.
