Investment firm Sun Valley AG plans to submit an application for a public offering of Mineros S.A. shares.
Toronto-based investment firm Sun Valley Investments AG has declared its intention to purchase a significant stake in Colombian mining company Mineros S.A. The announcement comes after the company filed an application with the Colombian Superintendent of Finance (SFC) to launch a public offer to acquire common shares of Mineros S.A.
If approved by the SFC, Sun Valley will offer to buy a minimum of 8% and a maximum of 11% of the issued and outstanding common shares of Mineros. The offer price per share will be 5,500 Colombian pesos, payable in cash. The total aggregate consideration paid by Sun Valley for the common shares could reach as much as COP $181,341,132,500 (approximately CAD $59,777,911 at the date of the application).
As per Colombian law, the offer cannot be made or accepted by Mineros shareholders until the SFC grants its approval. If approved, a detailed description of the public offer, including instructions for shareholders on how to participate, will be disseminated.
