Topp Holding may participate in book retailer Hugendubel - Hugendubel’s 130-Year Legacy Enters a New Era Under Topp Holding

Hugendubel, one of Germany's oldest book retailers, is set for a change in ownership. Topp Holding AG has received approval to invest in the company, though the exact size of its stake remains undisclosed. The deal will see joint control shared between Topp and Hugendubel's existing shareholders.

Founded in 1893, Hugendubel operates around 100 branches across Germany and employs roughly 1,600 people. The company also runs an online store, competing in a market dominated by players like Amazon and Thalia.

The Federal Cartel Office reviewed the investment and decided it would not significantly weaken competition in book wholesale. Topp Holding already owns Libri GmbH, Germany's largest book wholesaler, but regulators found no major concerns over market dominance.

Under the new structure, UBS Trustee Services AG will act as trustee for the Heinrich und Thomas Hugendubel Stiftung. This foundation will remain a key shareholder alongside Topp, ensuring continuity in Hugendubel's ownership.

The investment allows Topp Holding to take a role in Hugendubel's future while maintaining competition in the sector. The Heinrich und Thomas Hugendubel Stiftung retains influence, with UBS Trustee Services overseeing its share. The deal marks a new chapter for the long-standing bookseller in a challenging retail landscape.
