Gold Fields Project in Beauce: Unmediated Funding Proposal

Beauce Gold Fields (Champs D'Or en Beauce) has announced a non-brokered private placement to existing shareholders and Accredited investors. The placement, which may be closed no later than October 10, 2025, is for a minimum of 2,000,000 units and a maximum of 20,000,000 units at $0.04 per unit.

Each unit consists of one common share and one common share purchase warrant. The warrant allows the holder to purchase one common share at an exercise price of $0.10 for a period of 24 months following the closing date.

The proceeds from the private placement will be used for general working capital and exploration of gold and phosphate properties. Notably, 90% of the proceeds can be used for exploration, while a maximum of 10% can be allocated for Investor Relations Activities.

Existing shareholders can participate based on the existing shareholder exemption offered under Canadian securities laws, with a total acquisition cost not exceeding $15,000 in the 12 months preceding the placement's closing date. The minimum subscription amount for existing shareholders is $5,000.

Each share issued under the placement has a mandatory holding period of four months and one day. The Company may pay finders' fees, as permitted by the policies of the exchange.

Beauce Gold Fields is focused on exploring and developing the largest placer gold district in eastern North America. The company's flagship property is the Saint-Simon-les-Mines gold project, site of Canada's first gold rush that pre-dates the Yukon Klondike.

The Beauce region hosted some of the largest historical placer gold mines in Eastern North America that were active from the 1860s to the 1960s. Notable global Saddle Reef formations, similar to those found in Beauce, include the Bendigo gold fields in Australia (over 60 million ounces) and the high-grade Dufferin deposit in Nova Scotia.
