In May 2024, Vermillion Systems, a successful security integration company based in Walkerton, Indiana, was acquired by Pye-Barker Fire & Safety. This acquisition marks a significant milestone for both companies, reflecting the shared values and commitment to customer focus that have driven Vermillion Systems' growth over the past 25 years.

David Vermillion, the founder of Vermillion Systems, launched the company more than two decades ago with no industry experience or venture capital. Despite these challenges, Vermillion emphasised understanding financial fundamentals, particularly recurring revenue and EBITDA, and advised against trying to be everything to everyone. Instead, he focused on prioritising integrity, exceptional customer care, and fostering a strong internal culture rooted in family-owned entrepreneurial values.

Over time, Vermillion Systems became defined not by a specific technology or business model, but by its unwavering commitment to doing the right thing. This approach, combined with treating customers the way he wanted to be treated, built lasting relationships and trust in the security integration sector.

As the company grew, maintaining cohesion required conscious effort and tough decisions, including removing toxic people from the team. Vermillion emphasises the importance of building a strong, self-sufficient team and streamlining operations to enhance a company's value when it's time to sell.

In seeking an acquirer, Vermillion intentionally looked for one who shared these values. Pye-Barker Fire & Safety, with their cultural alignment and commitment to employee opportunity and customer focus, proved to be the ideal partner.

Following the acquisition, David Vermillion is now serving as vice president of business development on Pye-Barker's M&A team. He remains optimistic about the future for independents in the security and life safety ecosystem.

Vermillion offers guidance to other business owners who are contemplating an exit from their business. He advises finding a mentor or someone who has been through the M&A process. Starting with no industry background and no capital, Vermillion had to wear every hat imaginable: sales, procurement, accounting, installation, customer service, and project management. However, he realised that to be truly successful, he would need to find enough people to be on his team to do all those things better than he was able to do.

This approach to growth and eventual sale contrasts with selling to a large corporate entity and demonstrates how a values-driven culture can sustain growth and enable a successful, strategic exit in the competitive security integration industry. Vermillion Systems' story serves as a testament to the power of integrity, exceptional customer care, and a strong internal culture in driving business success.
